[Sách] Luật kinh tế - Luật của người kinh doanh - Phạm Duy Nghĩa



"Luật pháp tối cao nhất của một con người không nằm ở những trang văn bản luật, mà nằm ở cán cân chính trực bên trong tâm hồn."

Trưa trời ngày cuối cùng của tháng Tám.

Cao Lãnh đứng gió, oi nồng. Em đang ở đảo quốc sư tử hiện đại—nơi những tòa tháp kính vươn cao kiêu hãnh giữa dòng chảy tài chính toàn cầu. Nó ở đây, trên mảnh đất hình chữ S phong sương, nhìn những vệt nắng tàn thỏ thẻ rời chiếc bàn tỏa khói bay lên. Hai anh em trò chuyện, chạm vào những thao thức thời cuộc: để hiểu hơn về tư duy của giới siêu giàu, về cách những dòng tiền ma mị vận hành không biên giới, và về cái cách mà các đế chế kinh doanh định hình cuộc chơi.

Một tiêu chuẩn kế toán quốc tế như IFRS (International Financial Reporting Standards) vừa thay đổi, một thước đo minh bạch mới được hình thành, lập tức làm rung chuyển cấu trúc của hàng vạn công ty. Hơn 35 ngàn doanh nghiệp đã lặng lẽ đóng cửa, giải thể chỉ trong một vệt thời gian ngắn. Báo chí dồn dập đặt câu hỏi "Tại sao?", nhưng câu trả lời rải rác đằng sau những đống báo cáo khô khốc vẫn là nỗi hoang mang hoại tử của những kẻ thua cuộc. Những hộ kinh doanh ngộp trong mối quan hệ bế tắc giữa kế toán và chủ hộ. 

Sự sụp đổ ấy khiến nó bất giác nhớ về làn sóng khủng hoảng mà đất nước Malaysia—mảnh đất của những rặng dừa nốt xăm và những đô thị tháp đôi lấp lánh—vừa trải qua vài năm trước. Khi ấy, người bạn đồng hành của nó đã tận mắt chứng kiến sự chao đảo thể chế, tiếp nối một đế chế gia đình, bước lên con tàu đến Việt Nam, mang theo những trải nghiệm trần trụi và những chia sẻ sâu sắc về sự thay đổi nghiệt ngã của luật pháp chia sẻ cùng nó. 

Trong khoảng lặng dằn dỗi ấy, nó vô tình lật mở lại cuốn sách nằm trong chuỗi công trình chuyên sâu: "Luật Kinh tế - Luật của người kinh doanh" của PGS. TS. Phạm Duy Nghĩa.

Tác phẩm xuất hiện như làm rõ "luật chơi" của những kẻ dấn thân chốn thương trường—nơi ranh giới giữa sự chính trực và lòng tham chỉ cách nhau đúng một nhát cắt lách luật. Giữa một thương trường mà luật chơi đôi khi bị phù phép thành chiếc mặt nạ trá hình cho những lời kêu gọi trung thực sáo rỗng, công trình của Phạm Duy Nghĩa dựng lên như một cột mốc thức tỉnh.

PGS. TS. Phạm Duy Nghĩa—một học giả kinh tế-pháp lý kiệt xuất với góc nhìn kiến thiết thể chế sắc lạnh—không viết nên một cuốn giáo trình khô xơ, nặng tính từ chương. Bằng văn phong phong sương, dứt khoát, mẫn cảm nhưng cuồn cuộn một dòng chảy chiêm nghiệm thời cuộc, tác giả tiến hành giải phẫu bộ gen của tư duy kinh doanh Việt Nam trong mối tương quan với khung khổ pháp lý hiện đại.

Luật kinh tế không phải là tập hợp những điều cấm đoán vô hồn để hù dọa doanh nhân, mà là bản thiết kế trò chơi (Game Rules) nhằm giảm thiểu chi phí giao dịch, bảo vệ quyền sở hữu và nuôi dưỡng sự sáng tạo.

"Kinh doanh mà không hiểu luật cũng giống như một gã lái xe mù chạy trên đường cao tốc. Sự ngạo ngược (Arrogance) và thói quen lách luật có thể mang lại lợi nhuận chốc lát, nhưng rốt cuộc sẽ đẩy doanh nghiệp vào thảm cảnh hoại tử thể chế."

Phạm Duy Nghĩa chỉ ra hai lằn ranh sinh tồn:

  • Bẫy Cỗ máy và Chi phí Thể chế: Mọi sự ngụy tạo báo cáo tài chính hay các chỉ số phù phiếm (Vanity Metrics) suy cho cùng đều là ảo ảnh ngắn hạn. Từ mô hình công ty cổ phần đến công ty TNHH, nếu thiếu đi sự minh bạch, cỗ máy tập đoàn sẽ nhanh chóng biến thành cái hộp tù túng, nơi những gã "sếp độc hại" (Michael Jenkins) thao túng quyền lực và tước đoạt công sức của cấp dưới.

  • Sự Tự chủ: Trước sự nghiêm minh của pháp luật và quy luật thị trường, những hành vi gian dối sớm muộn cũng sẽ bị vạch trần. Sự tự chủ thực sự chỉ đến khi doanh nghiệp biết tôn trọng luật chơi

Ở hai đầu đất nước, qua màn hình điện thoại, em trải lòng về những áp lực khi bản thân cũng đang đối mặt với sự thay đổi quy định và sự khan hiếm nguồn cung nơi xứ người. Ở bên này, trên đất mẹ đang trong quá trình tựu hình một thể chế mới, nó cũng trải lòng với em về một làn sóng nỗi sợ bản năng luật lệ, sợ thuế, sợ những thủ tục phiền hà của những con người cùng chung dòng máu với nó và em.

Hai anh em bàn sâu về làn sóng đầu tư nước ngoài vào Việt Nam.

Ngoài kia, Cao thành chợt đổ một trận mưa rào dồn dập. Tiếng mưa đập ken két trên những chiếc kính xe đậu một hàng dài trước quán. Nó nhẹ nhàng báo em hãy chủ động sẻ chia, hướng dẫn các đối tác về những thủ tục và quy trình pháp lý một cách tận tụy—hệt như cách hai anh em đã kiên trì thực hiện suốt gần ba năm qua, để những con người mới bước vào thị trường hiểu hơn về một sân chơi quốc tế sòng phẳng.

Mưa tạnh dần. Mây trời lộng gió dạt dào thốc về từ phía sông lớn.

Nó remained here, upon this weathered, S-shaped land, watching the dying trails of sunlight softly whisper as they slipped away from a table where wisps of smoke drifted upward. We spoke across the expanse, touching upon the anxieties of the age: seeking a deeper grasp of the mindsets governing the ultra-wealthy, the phantom ways in which unbordered capital operates, and how commercial empires shape the very architecture of the game.

An international accounting standard like IFRS (International Financial Reporting Standards) shifts, a new metric of transparency takes form, and instantly the structural foundations of tens of thousands of enterprises tremble. Over thirty-five thousand businesses quietly shuttered their doors, dissolving in a mere blip of time. The press frantically demanded "Why?", yet scattered behind heaps of bone-dry (khô khốc) reports, the only true answer was the necrotic panic of the defeated—household businesses suffocating in the stagnant, deadlock relationship between the bookkeeper and the family head.

That collapse involuntarily pulled its memory back to the crisis wave that Malaysia—a land of palmyra palms and glittering twin towers—endured just years ago. Back then, nó’s traveling companion witnessed firsthand the institutional sway, inherited a family empire, and stepped onto a vessel bound for Vietnam, carrying unvarnished experiences and deep reflections regarding the ruthless shifts in law to share with nó.

Within that restless pause, nó accidentally reopened a volume within a specialized series: Economic Law - The Law of Business People (Luật Kinh tế - Luật của người kinh doanh) by Assoc. Prof. Dr. Phạm Duy Nghĩa.

The work materialized to clarify the "rules of the game" for those stepping onto the commercial battlefield—where the boundary between integrity and greed is separated by nothing more than the razor-sharp incision of a legal loophole. Amidst a market where rules are so often magically manipulated into a hypocritical mask preaching empty honesty, Phạm Duy Nghĩa’s work stands tall like an awakening beacon.

Assoc. Prof. Dr. Phạm Duy Nghĩa—an eminent economic-legal scholar endowed with a sharp, institution-building perspective—does not construct a bone-dry, pedantically heavy textbook. With a voice weathered, decisive, and sensitive yet surging with an undercurrent of temporal contemplation, the author dissects the genetic code of Vietnamese business thinking in relation to modern legal frameworks.

Economic law is not a collection of lifeless prohibitions designed to intimidate entrepreneurs, but the very blueprint (Game Rules) aimed at minimizing transaction costs, safeguarding property rights, and nourishing creativity.

Phạm Duy Nghĩa delineates two survival boundaries:

  • The Machine Trap and Institutional Costs: Every falsification of financial statements or vanity metric (Vanity Metrics) is, in the end, a short-lived illusion. From joint-stock entities to limited liability structures, without transparency, the corporate machine rapidly transforms into a suffocating box (cái hộp), where toxic bosses (Michael Jenkins) manipulate power and strip away the labor of their subordinates.

  • True Sovereignty (Autonomy): Before the absolute severity of the law and market forces, deceptive acts will sooner or later be unmasked. True autonomy only arrives when an enterprise learns to respect the rules of the game.

Across two ends of the country, through a glowing phone screen, you opened your heart about the pressures of facing shifting regulations and supply scarcity in a foreign land. On this side, upon the motherland slowly giving shape to a new institutional structure, nó also shared with you the instinctual wave of fear regarding regulations, taxes, and cumbersome procedures shared by those bearing the same bloodline as nó and you.

We delved deep into the wave of foreign investment flowing into Vietnam.

Outside, the elevated city suddenly unleashed a torrential downpour. The rain clattered relentlessly against the windshields of cars parked in a long line before the café. Nó gently suggested that you proactively share and guide partners through legal processes and procedures with quiet devotion—just as the two of you had patiently done for nearly three years, helping newcomers entering the market truly comprehend a fair, international playing field.

The rain gradually abated. Wind-swept clouds (mây trời lộng gió) surged forth wildly from the direction of the great river.
